Non Disclosure Agreement: The Recipient Party shall retain in confidence all Information disclosed by the Disclosing Party pursuant to this Agreement.
The Recipient Party may disclose Confidential Information to such of its employees, consultants, agents, or representatives strictly on a need-to-know basis.
Any employee, consultant, agent, or representative receiving Confidential Information shall comply with this Agreement to the same extent as the Receiving Party.
The Recipient Party shall be responsible for any breach of this Agreement by its employees, consultants, agents, or representatives.
The Recipient Party shall use the same degree of care as it uses for its own confidential information of similar nature, but no less than reasonable care, to prevent unauthorized use, dissemination, or publication.
The Recipient Party shall issue suitable instructions and obtain written undertakings to bind relevant employees/consultants/agents/representatives to these confidentiality and non-disclosure obligations.
If the Receiving Party or its Representatives fail to comply with this Agreement, the Receiving Party shall be liable to the Disclosing Party and its Affiliates for all resulting damages and losses.
Data minimization and anonymization clause: raw claims dump data must not be disclosed externally and must be used only in anonymized, de-identified, or aggregated form for analytics output and reporting.
Phase 2 is blocked until NDA acceptance is completed.
Hard block active: accept the NDA terms and anonymized dataset confirmation above before Phase 2 run.
